           The Borrower's Qualifying Capital ("QC") is NEVER "at risk".

            In all of our Programs, the Borrower, the Project Investor or the Project Sponsor all need to come to the table with some amount of capital that is known as the "Qualifying Capital" ("QC").  This is a sum that is at least $10M USD, and it is the first step towards us being able to structure a Credit Facility that will be used to finance the Project in question.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            The initial concern that is common to every deal begins with
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      
           "is my "QC" safe?" and "How do I get it back?"
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            This is what differentiates us from every other Lender, and every other Project, because in our Programs, the "QC" never needs to be invested into the Project where it would traditionally be "Spent", and completely "at risk". With our structure, the individual or company that is posting the "QC" knows that these funds will never be spent or encumbered in any manner, and will ALWAYS ultimately be returned to the entity that posted them.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           In fact, the mechanisms that are employed to secure your "QC" make sure of this because your funds will NEVER be in our hands. Your "QC" Deposit will either be in your own Bank Account, or it will be in the IOLTA/Trust Account of an approved Law Firm. This way we can eliminate your fear that we can ever "run away" with you money. Our main focus in every deal is the protection of your funds, on top of everything else.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;

            account at Morgan Stanley, which is designed to maintain the funds at their current level (no withdrawals, no encumbrances permitted), and they legally can only be returned to where they originated from. This gives the "Lender" complete peace of mind, and capital protection at all times.

    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;

            money into the Project and assume 100% of the risk. Then, within the initial 12 month period, you are then able to exit the deal with the interest that you negotiated for your services, and you can then immediately return to provide this same service to other projects.

           It is no secret that there are many good projects looking for financing, but their main hurdle is their ability to show funds at the underwriting process - because most Lenders will NOT lend 100% LTV. This model enables the Project to utilize the capital of a 3rd party for a period within 12 months, secure their loan, and in the process the Depositor has earned a superior rate of interest, and did so without incurring any risk.

           Understand Your Own Needs and Purpose

           Most of the Borrowers who come to us have already exhausted their list of conventional Lenders. Furthermore, many of the Projects that we see have already been in limbo for a Year or More, because of the lack of financing.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Take the Time to Understand the Difference Between a Private Lender and a Retail Lender
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The differences are pretty substantial, and not in a bad way. But it is important to clearly understand that with a Private Lender, you cannot come into the deal thinking that simply because they are not a Bank, that you can dictate your own preferred terms. That is not the case.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Private Lenders are Not Desperate Lenders
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           To add on to the previous thought, Private Lenders do not have investors to answer to, and do not have "targets" to meet like most Retail Lending institutions have. This means that your deal is never motivated by these factors, so if you are perceived to be difficult to work with, they will simply decline the deal.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Follow the Process
          &#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
      
           One thing that you will discover is that Private Lender processes are very specific, and are not designed for the Borrower to alter. Ask questions and follow procedures, and you will achieve the expected results.
          &#xD;

  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;

    &lt;span&gt;&#xD;
      
           Private Lenders are More Expensive than Retail Lenders
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           This may be the case in many instances, but it certainly is not the case with our Affiliates. In fact, they do not charge application fees, due diligence fees, or fees to deliver you a Term Sheet. We have seen Borrowers spend upwards of $250,000 before they even received a Term Sheet, and even worse, they were still denied their loan after the due diligence was paid for, and completed.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
